The exact scope of services, deliverables, and timelines will be agreed in writing before work commences. No services begin without a clear, documented agreement between both parties.
All financial arrangements are agreed transparently upfront. We operate on a clear, structured payment schedule to protect both parties.
All pricing is confirmed in writing before any work begins. No surprise charges.
Payments are due in line with the schedule outlined in your service agreement.
Late or missed payments may result in the suspension of active services without notice.
All payments are non-refundable unless explicitly stated otherwise in your agreement.
Successful outcomes depend on a collaborative working relationship. As a client, you agree to fulfil the following responsibilities throughout the engagement:
Delays caused by a client’s failure to provide information, access, or timely responses may affect agreed timelines. Xcel Rank Ltd cannot be held responsible for delays resulting from client-side issues.
We are a results-driven agency, and our goal is always to deliver measurable improvements for your business. However, we must be transparent about the nature of digital marketing.
Xcel Rank Ltd does not guarantee specific results such as rankings, lead volumes, or revenue figures. Digital marketing performance is influenced by a wide range of external factors outside our direct control, including search engine algorithm changes, market competition, and seasonal demand.
We will always set realistic expectations, report performance transparently, and work proactively to optimise results throughout our engagement.
Xcel Rank Ltd shall not be held liable for losses arising from circumstances beyond our reasonable control. The following limitations apply:
Loss of revenue or anticipated profits
Indirect or consequential losses of any kind
Issues arising from third-party platforms such as Google or Meta
Our total liability to you in any circumstance shall not exceed the total amount paid by you for the services in question. Nothing in these Terms limits liability for fraud, death, or personal injury caused by our negligence.
Ownership of materials and deliverables is managed as follows to protect both parties:
Either party may bring the engagement to an end by providing written notice. The following conditions apply upon termination:
Termination does not relieve either party of obligations incurred before the notice date. Any work completed up to the point of termination remains billable under the agreed fee structure.
Both Xcel Rank Ltd and the client agree to maintain the confidentiality of any sensitive information shared during the course of the engagement.
Both parties agree not to disclose confidential information to any third party without prior written consent.
Covers business strategies, pricing, client data, internal processes, and any other non-public information.
Confidentiality obligations survive the termination of any agreement between the parties and remain in force indefinitely unless both parties agree otherwise in writing.
Xcel Rank Ltd takes data protection seriously. We are registered with the Information Commissioner’s Office (ICO) and comply fully with UK GDPR in how we collect, process, and store personal data.

These Terms & Conditions, and any disputes arising from them, are governed exclusively by the laws of England and Wales.
Any disputes that cannot be resolved amicably between the parties shall be subject to the exclusive jurisdiction of the courts of England and Wales. Both parties agree to attempt resolution in good faith before pursuing legal action.
